By submitting your laundromat business details for valuation, you agree to the following terms of confidentiality between you (the “Discloser”) and Matt’s Laundry (the “Recipient”):

1. Purpose: The Discloser agrees to provide confidential information about their laundromat business to the Recipient for the sole purpose of obtaining a business valuation.
2. Confidential Information: This includes, but is not limited to, financial data, operational details, customer information, and any other proprietary information related to the Discloser’s laundromat business.
3. Protection of Confidential Information: The Recipient agrees to:
   a) Keep all provided information strictly confidential.
   b) Use the information solely for the purpose of valuation.
   c) Not disclose the information to any third parties without prior written consent from the Discloser.
   d) Implement reasonable security measures to protect the confidential information.
4. Exclusions: This agreement does not apply to information that:
   a) Is already in the public domain.
   b) Becomes publicly known through no fault of the Recipient.
   c) Is independently developed by the Recipient without use of the confidential information.
   d) Is required to be disclosed by law or court order.
5. Return of Information: Upon request, the Recipient will return or destroy all confidential information provided by the Discloser.
6. Duration: The obligations in this agreement will continue for a period of two (2) years from the date of submission.
7. No Obligation: This agreement does not obligate either party to proceed with any business transaction or relationship.
8. Governing Law: This agreement shall be governed by and construed in accordance with the laws of Ontario, Canada.
9. Entire Agreement: This agreement constitutes the entire understanding between the parties concerning the confidential information.

By submitting your business details, you acknowledge that you have read, understood, and agree to be bound by the terms of this Confidentiality Agreement.
